\u00a7 1. General Provisions, Scope<\/h2>\n
    \n
  1. These General Terms and Conditions shall apply to all present and future business relations between CARFRA GmbH, Sosaer Stra\u00dfe 11, 01257 Dresden, Germany (hereinafter \u201cCARFRA\u201d), and its customers (hereinafter the \u201cClient\u201d). For the purposes of these Terms and Conditions, the Client shall mean the natural person or legal entity entering into the contract with CARFRA, irrespective of whether the services are used by the Client itself or by third parties, including, without limitation, accompanying passengers. <\/li>\n
  2. These Terms and Conditions shall apply to all agreements for the provision of services, in particular in the field of commercial passenger transport. Such services include, without limitation, chauffeur-driven transport by limousine, van, sprinter and coach, shuttle and mobility solutions for events, and event logistics. <\/li>\n
  3. Any conflicting, deviating or supplementary terms and conditions of the Client shall only form part of the contract if and to the extent expressly accepted by CARFRA in text form. Any oral side agreements or deviations from these Terms and Conditions shall only be valid if confirmed by CARFRA in text form. <\/li>\n
  4. Any individually agreed arrangements with the Client shall prevail over these Terms and Conditions and should, for evidential purposes, be made in text form.<\/li>\n
  5. Any legally relevant declarations by the Client, including without limitation notices of termination or withdrawal, shall require text form in order to be valid. A stricter form requirement, such as a handwritten signature, shall not apply unless expressly required by law. <\/li>\n
  6. Unless expressly provided otherwise in these Terms and Conditions, the applicable statutory provisions shall apply.<\/li>\n
  7. Notice regarding the right of withdrawal: No right of withdrawal shall apply in respect of scheduled passenger transport services pursuant to Section 312 para. 2 no. 5 of the German Civil Code (BGB). Further details are set out in \u00a7 3. <\/li>\n
  8. The carriage of minors shall only be permitted upon presentation of the written consent of the legal guardians. Compliance with all statutory duties of supervision and care in respect of minor passengers shall be the sole responsibility of the Client. In the absence of such written consent, CARFRA shall be entitled to refuse carriage without any entitlement of the Client to reimbursement or damages. <\/li>\n<\/ol>\n

    \u00a7 2. Formation of Contract<\/h2>\n
      \n
    1. A contract shall come into existence once the Client accepts CARFRA\u2019s offer, whether expressly or by conduct clearly indicating acceptance, including, without limitation, by making use of the service.<\/li>\n
    2. Any offers made by CARFRA shall be non-binding and subject to change. A legally binding contract shall only arise upon CARFRA\u2019s order confirmation. <\/li>\n<\/ol>\n

      \u00a7 3. Right of Withdrawal<\/h2>\n

      The right of withdrawal shall apply exclusively to consumers within the meaning of Section 13 BGB. In the case of distance contracts, namely contracts concluded exclusively by means of distance communication such as telephone, email or via our website, consumers shall in principle have a statutory right of withdrawal of 14 days pursuant to Sections 355 and 312g BGB. <\/p>\n

      Exception \u2013 passenger transport: Pursuant to Section 312 para. 2 no. 5 BGB, no right of withdrawal shall apply where the contract concerns the provision of passenger transport services and a specific date or period has been agreed. This applies in particular to our chauffeur services, airport transfers, bus, shuttle and driving services. <\/p>\n

      Other services: In respect of all other services which are not date-specific or transport-related, including, in particular, orders for vouchers without a fixed performance date, the statutory 14-day right of withdrawal shall apply. Information regarding such right of withdrawal shall be provided separately in the course of the relevant contract conclusion process. <\/p>\n

      The following shall apply to consumers:<\/p>\n

      You may withdraw your contractual declaration within 14 days without stating any reasons. The withdrawal period shall be 14 days from the date of conclusion of the contract. However, the period shall not commence until the consumer has been duly informed of the right of withdrawal. To comply with the deadline, it shall be sufficient for the notice of withdrawal to be dispatched in due time in text form, for example by email, fax or letter, to CARFRA GmbH, Sosaer Strasse 11, 01257 Dresden, Germany, email: info@extrabesonders.de. A model withdrawal notice shall be made available to you upon conclusion of the contract. <\/p>\n

      \u00a7 4. Client\u2019s Contractual Obligations<\/h2>\n
        \n
      1. The Client shall provide all information relevant to the performance of the services, including, without limitation, pick-up times, number of passengers and luggage volume, in due time and in full.<\/li>\n
      2. Any delays, amendments or special requests shall be communicated to CARFRA without undue delay. Any additional costs incurred as a result of extra work, waiting times or necessary detours shall be invoiced to the Client. <\/li>\n
      3. In the context of the booking, the Client shall further be obliged to provide complete and accurate details regarding accompanying persons, in particular minors. Where a minor passenger is booked without the consent of the legal guardians, or where suitable restraint systems are not available, CARFRA may refuse carriage. In such case, CARFRA\u2019s entitlement to remuneration shall remain unaffected. Upon request and against payment of a fee, CARFRA may provide suitable restraint systems; otherwise, the responsibility for providing such systems shall rest with the Client. <\/li>\n<\/ol>\n

        \u00a7 5. Prices and Payment Terms<\/h2>\n
          \n
        1. Any objections or complaints concerning the services rendered or the invoice must be submitted to CARFRA in writing within 14 days of receipt of the invoice. Upon expiry of such period, the services shall be deemed duly rendered and accepted. <\/li>\n
        2. The agreed price shall include only those services expressly specified in the offer. Additional services and ancillary costs, including, without limitation, parking charges, tolls, ferry costs, admission fees, overnight accommodation for the driver and any other incidental expenses necessary for, or requested in connection with, the performance of the agreed service, shall be charged separately unless expressly included in the offer. <\/li>\n
        3. Invoices shall be due and payable within 7 days of receipt without deduction. In relation to consumers, default interest shall accrue at a rate of 5 percentage points above the applicable base interest rate pursuant to Section 288 para. 1 BGB. In relation to entrepreneurs within the meaning of Section 14 BGB, default interest shall accrue at a rate of 9 percentage points above the applicable base interest rate pursuant to Section 288 para. 2 BGB. CARFRA reserves the right to claim further damages for default. <\/li>\n<\/ol>\n

          \u00a7 6. Liability<\/h2>\n
            \n
          1. CARFRA shall be liable in accordance with the applicable statutory provisions for intent and gross negligence.<\/li>\n
          2. In cases of ordinary negligence, CARFRA\u2019s liability shall be limited to foreseeable losses typical of the contract and shall apply only in the event of a breach of essential contractual obligations.<\/li>\n
          3. CARFRA shall not be liable for losses caused by delay or non-performance resulting from force majeure, including, without limitation, natural disasters, strikes, official orders or unforeseeable road closures.<\/li>\n
          4. Where performance is temporarily impeded, agreed performance dates shall be extended by the duration of the impediment, unless a date has expressly been agreed as a fixed date transaction. In the event of an expressly agreed fixed date transaction, the Client shall have the right to withdraw from the contract in the case of a substantial delay, insofar as subsequent performance can no longer reasonably be expected. <\/li>\n
          5. CARFRA shall not be liable for delays in operations caused by traffic congestion, road closures, weather conditions, official orders or other events beyond CARFRA\u2019s reasonable control. Any information regarding journey times or arrival times shall constitute non-binding estimates only. Delays shall not give rise to liability or claims for price reduction unless a fixed date has expressly been agreed in writing and the delay is attributable to intentional or grossly negligent conduct on the part of CARFRA. The Client shall be obliged to select the pick-up time in such a manner that usual traffic conditions and potential delays are reasonably taken into account. <\/li>\n
          6. CARFRA shall assume no liability for items left behind in the vehicle. CARFRA shall not be under any obligation to store or forward such items. Found items shall, where feasible, be returned upon proof of entitlement or, at the Client\u2019s request and expense, forwarded to the Client. Found items shall be stored for a period of 4 weeks, unless such items are perishable or hazardous to health. <\/li>\n
          7. The Client shall also be liable for culpable breaches of duty committed by accompanying passengers, in particular in the event of damage to the vehicle or non-compliance with safety regulations. Any recourse claims asserted by third parties against CARFRA arising from the conduct of accompanying passengers shall be borne by the Client. <\/li>\n<\/ol>\n

            \u00a7 7. Cancellation Terms<\/h2>\n

            Unless otherwise agreed, the following provisions shall apply to limousine and van services: the booking may be cancelled at any time in text form. The relevant time shall be the time of receipt of the cancellation by CARFRA. Cancellation shall be free of charge up to 30 days prior to the agreed date. Thereafter, the following cancellation charges shall apply: <\/p>\n
